By creating an account or using Prospio (the "App"), you agree to these Terms & Conditions. If you do not agree, do not use the App.
Prospio is a contact-management application for network marketing professionals, provided by Pearl Lane, LLC ("Pearl Lane," "we," "us"). Available features may vary depending on the specific MLM-branded version of the App you are using and your account's access level.
You must provide a valid email address to register. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us promptly of any unauthorized use.
The App lets you store information about your own prospects, customers, and team members. You represent that you have the right to store and use this information and that doing so complies with applicable law. You are solely responsible for the accuracy and legality of the data you enter.
Free trial. New accounts get a free trial of 30 days. No payment details are needed to start the trial. Each email address is eligible for one free trial. Creating a new account with an email address that has already had a trial does not start a new one.
After the trial. When your trial ends, your account moves to a free plan with limits (for example a cap on the number of contacts, and some features reserved for paid subscribers) unless you subscribe. We may change what the free plan includes.
Paid subscription. A paid subscription removes those limits. The subscription price is shown when you subscribe and in the App under Profile → Subscription. It is billed in U.S. dollars every month, starting on the day you subscribe (or when your trial ends, if you subscribe during the trial).
Automatic renewal. Your subscription renews automatically each month, and your payment method is charged each time, until you cancel. By subscribing you authorize Pearl Lane, LLC, through its payment processor, to charge your payment method on a recurring monthly basis.
Payment processing. Payments are processed by Stripe, Inc. You enter your payment details on Stripe's secure pages. Pearl Lane does not receive or store your full card number. Stripe's terms and privacy policy apply to your payment information.
Cancelling. You can cancel at any time in the App under Profile → Subscription → Manage subscription, or by contacting us. When you cancel, your subscription will not renew, and you will keep full access until the end of the billing period you have already paid for. After that, access ends.
No refunds. Subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, or periods in which you did not use the App, except where required by applicable law.
Failed payments. If a payment fails, we may retry it. Your access continues for 7 days after the end of the period you paid for while we try to collect payment. If payment still fails, your access will end until the payment issue is fixed.
Price changes. We may change the subscription price. We will notify you at least 30 days before a change takes effect for your account, and you may cancel before then. A price change will not affect a billing period you have already paid for.
Taxes. Prices may not include applicable sales, use, or value-added taxes. Where required, taxes are added at checkout.
Complimentary access. At our discretion we may provide complimentary access to some accounts, and we may end it at any time.

The App, including its design, branding, and underlying software, is owned by Pearl Lane, LLC or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose. Pearl Lane® is a registered trademark of Pearl Lane, LLC. All rights not expressly granted are reserved.
The App relies on third-party infrastructure providers, including Google Firebase / Google Cloud Platform, to operate. Your use of the App is also subject to those providers' own terms where applicable.
Your MLM ID. You must enter your own MLM ID accurately. Each MLM ID can be registered to only one account. If the ID you enter is already registered, or you enter an ID that is not yours, we may refuse it, correct it, or suspend the account.
Teams. The App organizes accounts into teams. You may be placed on a team by an administrator or a team owner, and team owners may remove you from teams they own. Team owners can see limited information about team members, as described in our Privacy Policy, but being on a team does not give anyone access to your contacts. Training material shared on a team is provided by that team's owner, not by Pearl Lane, and Pearl Lane is not responsible for it.
We may suspend or terminate your access to the App at any time, with or without notice, including for violation of these Terms. You may stop using the App at any time.
Closing your account. You can ask us to delete your account and data as described in our Privacy Policy. Deletion is permanent and cannot be undone. It ends your access immediately, and any time remaining on a paid subscription is forfeited with no refund or credit, except where required by applicable law. If you have a subscription that renews, cancel it first so you are not charged again; we may ask you to do so before we delete the account.
When we may delay or decline. We may delay or decline a deletion request while a payment dispute or chargeback is open, while we are subject to a legal hold or legal request, or while we are investigating suspected fraud or abuse. We will tell you if this applies. We may also keep information as described in the Privacy Policy, such as billing records.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE APP WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, PEARL LANE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PEARL LANE FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. PEARL LANE IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold Pearl Lane harmless from any claims, damages, or expenses arising from your use of the App, your violation of these Terms, or your violation of any third party's rights — including the rights of individuals whose information you store in the App.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.
We may update these Terms from time to time. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.
